By creating an account, accessing, or using LoopShare, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

Description of Service

What LoopShare Provides

LoopShare is a recommendation sharing platform that allows you to save, organize, and share recommendations for shows, movies, books, podcasts, restaurants, and other content with your trusted circle of friends and family.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

User Accounts

Account Creation

To use LoopShare, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

Account Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms of Service or engaged in any fraudulent, abusive, or illegal activity.

Subscription Services and Billing

LoopShare Pro Subscription

LoopShare offers a premium subscription service ("LoopShare Pro") that provides access to additional features and functionality. Subscription pricing and features are displayed in the app at the time of purchase.

Free Trial

We may offer a free trial period for LoopShare Pro. If you do not cancel before the end of the trial period, you will be automatically charged the subscription fee. Trial availability and duration may vary and are subject to change.

Automatic Renewal

Your LoopShare Pro subscription will automatically renew at the end of each subscription period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

Payment Processing

All subscription payments are processed through the Apple App Store or Google Play Store, depending on your device. Your subscription is subject to the respective platform's terms and conditions, including their refund policies.

Cancellation

You may cancel your LoopShare Pro subscription at any time through your device's subscription settings (Apple App Store or Google Play Store). Cancellation will take effect at the end of your current billing period, and you will retain access to Pro features until that date.

Refunds

Refund requests are subject to the Apple App Store or Google Play Store refund policies. LoopShare does not process refunds directly. Please contact Apple or Google for refund inquiries.

Price Changes

We reserve the right to change subscription pricing at any time. Price changes will apply to new subscriptions or renewals after the change takes effect. We will provide advance notice of price changes where required by law.

User Content and Conduct

Your Content

You retain ownership of all content you post on LoopShare, including recommendations, comments, and profile information. By posting content, you grant LoopShare a worldwide, non-exclusive, royalty-free license to use, store, and display your content as necessary to provide the service.

Content Restrictions

You agree not to post content that is illegal, offensive, discriminatory, harassing, threatening, defamatory, or infringes on the rights of others. You also agree not to post spam, malware, or misleading information.

Prohibited Activities

You agree not to: (a) use LoopShare for any illegal purpose; (b) attempt to gain unauthorized access to our systems; (c) interfere with the proper functioning of the service; (d) use automated tools to access the service without permission; (e) impersonate others; or (f) collect user information without consent.

Content Removal

We reserve the right to remove any content that violates these Terms of Service or that we deem inappropriate, without notice and at our sole discretion.

Intellectual Property

LoopShare Ownership

LoopShare and its original content, features, and functionality are owned by LoopShare, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use LoopShare for your personal, non-commercial use. This license does not include the right to reproduce, distribute, or create derivative works from our service.

Third-Party Content

LoopShare may display content from third parties, including movie posters, book covers, and other media. These materials are the property of their respective owners and are used for informational purposes only.

Privacy and Data

LoopShare is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Accuracy

We do not warrant that LoopShare will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any content or recommendations on the service.

Limitation of Liability

To the maximum extent permitted by law, LoopShare, Inc., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of LoopShare, even if we have been advised of the possibility of such damages.

Maximum Liability

In no event shall LoopShare's total liability to you for all damages exceed the amount you paid to LoopShare in the twelve (12) months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless LoopShare, Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to: (a) your use of LoopShare; (b) your violation of these Terms of Service; (c) your violation of any rights of another party; or (d) any content you post on LoopShare.

LoopShare may contain links to third-party websites, services, or content. We do not endorse or assume any responsibility for any third-party sites, products, or services. Your use of third-party services is at your own risk and subject to their terms and conditions.

App Store Terms

Your use of LoopShare through the Apple App Store or Google Play Store is also subject to the respective platform's terms of service and policies.

Dispute Resolution and Governing Law

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms of Service or your use of LoopShare shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and LoopShare individually. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Children's Privacy

Age Requirement

LoopShare is not intended for children under the age of 13. If you are under 13, you may not use LoopShare. If we learn that we have collected personal information from a child under 13, we will delete that information as quickly as possible.

Parental Consent

If you are between 13 and 18 years old, you may only use LoopShare with the permission and supervision of a parent or legal guardian who agrees to be bound by these Terms of Service.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify you by email or through the app, and update the "Effective Date" at the top of this page. Your continued use of LoopShare after changes are posted constitutes your acceptance of the modified terms.

Termination

Your Right to Terminate

You may terminate your LoopShare account at any time by contacting us at hello@loopshare.app or using the account deletion feature in the app.

Our Right to Terminate

We may terminate or suspend your access to LoopShare immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service.

Effect of Termination

Upon termination, your right to use LoopShare will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

General Provisions

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and LoopShare regarding your use of the service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and LoopShare's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms of Service or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
